ST. LOUIS CHAPTER CONSTITUTION
ST. LOUIS AREA
BETA GAMMA SIGMA
ARTICLE
I - NAME
This chapter shall be known as the St. Louis Area Alumni Chapter of Beta Gamma Sigma and shall operate in the approved local geographic area.
ARTICLE II –
MISSION
The mission of Beta Gamma Sigma is to encourage and honor academic achievement in the study of business and personal and professional excellence in the practice of business. This mission is exemplified in the five objectives of the Society.
These objectives include:
I.
Encourage and honor high academic achievement by students of
business and management through chapters in AACSB International accredited
programs.
II. Foster in Beta
Gamma Sigma members an enduring commitment to the founding principles and
values of the Society: honor and
integrity, pursuit of wisdom, and earnestness.
III. Support the advancement
of business thought, at both the Society and chapter levels, so as to encourage
lifelong learning for members and other constituents.
IV. Enhance the
value of Beta Gamma Sigma for student and alumni members in their professional
lives.
V. Enhance the visibility
and reputation of Beta Gamma Sigma.
ARTICLE II -
PURPOSES
The St. Louis Area Alumni Chapter shall
provide mutual support and the opportunity for networking and mentoring among
the members as well as develop a partnership with Beta Gamma Sigma, Inc. to
make a stronger Beta Gamma Sigma. The
St. Louis Area Alumni Chapter shall also support the purposes of Beta Gamma
Sigma, Inc. which are to encourage and reward scholarship and accomplishment
among students of business and administration, to promote the advancement of
education in the art and science of business, and to foster integrity in the
conduct of business activities.
Alumni of Beta Gamma Sigma may propose to Beta Gamma Sigma, Inc. an alumni chapter be installed in the St. Louis area. The proposal shall be addressed to Beta Gamma Sigma, Inc. for consideration by the Beta Gamma Sigma Board of Governors. Upon Board approval, the alumni chapter may be installed.
ARTICLE IV - MEMBERSHIP
Membership shall be open to all alumni
members of Beta Gamma Sigma residing in the St. Louis area, upon application to
the chapter and payment of chapter dues.
All members in good standing shall be eligible to vote, hold office, and
otherwise participate in the activities of the chapter.
Section
1. Government of Alumni Chapter
The governing body of the chapter shall
be a Chapter Council, comprised of the officers of the chapter listed below in
Article V Section 1 hereof and other members of the chapter as deemed
appropriate as set forth in the Bylaws.
Section
2. Ex-Officio Members of the Chapter
The Board of Governors of Beta Gamma
Sigma, Inc. shall serve as ex-officio members of the Alumni Chapter and shall be
included on the mailing list of the St. Louis Area Alumni Chapter.
Section
3. Local Constitution and Bylaws
The St. Louis Area Alumni Chapter must
submit a copy of the chapter constitution (and bylaws) appropriate for its own
regulation to the Central Office of Beta Gamma Sigma, Inc. for approval as a
part of the petitioning process. These
documents shall not be in violation of or contradictory to the terms of the
Bylaws or Articles of Incorporation of Beta Gamma Sigma, Inc. St. Louis Area Alumni Chapter shall on an
ongoing basis provide the Central Office with any changes to these documents.
Section
4. Final Authority
The Board of Governors of Beta Gamma
Sigma, Inc. shall have final authority over all actions of the St. Louis Area
Alumni Chapter.
ARTICLE V -
OFFICERS
Section
1. Officers of the St. Louis Area
Alumni Chapter
The officers of the chapter shall be
president, vice president, secretary and treasurer. There may also be such other officers as are deemed necessary for
efficient operation of the chapter.
Section
2. Election of Officers
A majority vote of the members present
at a duly called meeting of the St. Louis Area Alumni Chapter shall be
necessary to elect officers. Any
vacancy caused by resignation or otherwise shall be filled by appointment by
the president.
Section
3. Term of Office
Each officer shall be elected for a
term of one year and shall not be re-elected to the same office more than
twice.
Any officer who fails to assume the responsibilities of the office or perform the duties of the office may be removed from office by a majority vote of the members attending a duly called meeting.
ARTICLE VI -
STANDING COMMITTEES
Section
1. Nominating Committee (a/k/a
Structure Committee)
Annually, there shall be a nominating
committee which shall nominate a full slate of chapter officers. This committee shall submit a list of
nominees for chapter officers to the active members of the chapter before each
duly called election meeting. The
nominating committee shall consist of at least three members of the chapter.
Section
2. Financial Audit Committee
Annually, there shall be a financial
audit committee composed of two or more active members of the chapter appointed
by the president. The life of this committee
shall be its year of appointment.
Section
3. Other Standing Committees
Additional standing committees may be
activated by the Council or President if they are needed to conduct local
chapter activities.
ARTICLE VII -
MEETINGS
Meetings may be called at any time by
the president or, if the president's office is vacant, by the Vice President or
by the secretary-treasurer by means of written notice to the active
membership. Written notice of such
meetings must be sent at least one week prior to the meeting. Voting privileges shall be limited to active
members. A simple majority vote of the
active members who are present at a duly called meeting shall be required and
sufficient for the election of chapter officers and transaction of chapter
business. Voting shall be by secret
ballot if requested by one or more of the voting members present.
ARTICLE VIII -
REPORTS
The St. Louis Area Alumni Chapter shall
submit to the Central Office a Chapter Program and Financial Report including
an updated membership database for each fiscal year.
ARTICLE IX – CHAPTER DUES
The annual dues of the St. Louis Area
Alumni Chapter shall be determined by the Chapter Council in consultation with
the Board of Governors of Beta Gamma Sigma, Inc.
The emblem shall be a gold key of such
design as is registered in the United States Patent Office on Registry No.
561,939 on July 22, 1952, and as subsequently renewed. The St. Louis Area Alumni Chapter may only
use the key insignia on items obtained from or approved by the Central Office.
ARTICLE XI -
FISCAL YEAR
The fiscal year of the St. Louis Area
Alumni Chapter shall cover the twelve months ending on June 30.
ARTICLE XII -
ANNUAL AUDIT
The financial records of the St. Louis Area
Alumni Chapter shall be audited annually at the end of each fiscal year by the
financial audit committee. The
committee shall report in writing to the Chapter Council. A report of the financial audit committee
shall be provided to the membership and to the Board of Governors of Beta Gamma
Sigma, Inc.
ARTICLE XIII -
DISTRIBUTION OF ASSETS ON DISSOLUTION
At such time as the St. Louis Area
Alumni Chapter shall be dissolved, its assets shall revert to Beta Gamma Sigma,
Inc. No part of the assets of this
organization at dissolution shall inure to the benefit of any person or
organization other than the organization before mentioned.
ARTICLE XIV -
AMENDMENTS
This constitution may be amended by a
three-fourths vote of the members attending a duly called meeting. No amendment to this constitution shall be
effective until a copy of the amendment has been filed with the Central
Office.
