St. Louis Area Alumni Chapter

Beta Gamma Sigma

 

ARTICLE I – PURPOSE

The purpose of these bylaws is to state the ways in which the provision of the constitution shall be applied to the government of the St. Louis Area Alumni Chapter, and to establish rules and procedures, within the limits set by the Beta Gamma Sigma Governing Documents, for the operation of the St. Louis Area Alumni Chapter.

 

ARTICLE II – MEMBERSHIP FEE STRUCTURE

Fee Structure and Associated Benefits

General Membership

General membership fee is $30.00, paid in one installment. General Members in good standing shall be eligible to vote, hold office, and otherwise participate in the activities of the St. Louis Area Alumni Chapter.

Recent Graduate Membership

Recent graduate membership fee is $15.00, paid in one installment. Recent Graduate members are individuals whose most recent graduation was within one year preceding applying for membership. They shall be eligible to vote and participate in the activities of the St. Louis Area Alumni Chapter.

Faculty Membership

Faculty membership is at no cost at this time. Faculty members shall be eligible to vote, hold office, represent the St. Louis Area Alumni Chapter in their respective universities, and otherwise participate in the activities of the St. Louis Area Alumni Chapter.

Fees are annual and billed by the St. Louis Area Alumni Chapter prior to the beginning of the new fiscal year.  Annual fees are due by July 1 being the commencement of the new fiscal year.  Fees are not pro-rated if a member joins after the first of the year.  Fees will be accepted only from members of Beta Gamma Sigma.

Events

Costs set by Chapter Programs on an event-by-event basis.

 

ARTICLE III – CHAPTER OFFICERS/CHAPTER COUNCIL

Elected Officials

The elected officers of the St. Louis Area Alumni Chapter shall be the following:

Chapter Council Members

The members of the of the St. Louis Area Alumni Chapter Council shall be the following:

1.       President

2.       Vice President

3.       Secretary

4.       Treasurer

5.       Chairperson, Chapter Programs

6.       Chairperson, Membership

7.       Chairperson, Publicity

8.       Immediate Past President

9.       Members at Large (Two)

 

Duties and Responsibilities

President

Shall preside at all meetings of the St. Louis Area Alumni Chapter.  Shall be empowered to appoint committees as hereinafter provided and shall be an ex-officio member of each committee.  Shall be the official representative of the St. Louis Area Alumni Chapter.  Shall be authorized to co-sign checks.  Shall only vote to break a tie at Council meetings. Shall appoint committee chairs and members at large.

Vice President

Shall succeed to the office and power of the President in his or her absence or for the remainder of his or her term if vacated for any reason.  In the event of such a vacancy, the Council shall appoint a successor to the post of Vice President.  The Vice President shall be authorized to co-sign checks.

Secretary

Shall record the minutes of the meetings of the Council and General Membership.  Shall have on hand a copy of the constitution and bylaws at all of the Council and General meetings.  Shall together with the Treasurer keep up-to-date signature authorizations of such bank, other financial institution, or money market fund(s) where the St. Louis Area Alumni Chapter maintains its funds.  Shall be authorized to co-sign checks.  Shall have custody of all official documents, such as the constitution, bylaws, etc.  Shall be the official liaison between Beta Gamma Sigma and the St. Louis Area Alumni Chapter.  Shall answer mail addressed to the St. Louis Area Alumni Chapter or forward it to the proper officer or committee chair.

 

                 

Treasurer

Shall be authorized to collect all monies payable to the St. Louis Area Alumni Chapter, and shall be charged with the care and custody of funds of the St. Louis Area Alumni Chapter.  Shall be authorized to co-sign checks.  Shall make all necessary disbursements in accordance with the directions of the Council.  Shall arrange for accepting reservations for the meetings, receiving members as they arrive at meetings, and collecting such monies at meetings.  Shall receive the payment of dues and shall arrange for the mailings of dues notices and receipt/acknowledgement of dues payments.  Shall account for and deposit all monies received. Shall be authorized to deposits funds at a bank, other financial institution, or money market fund approved by the Council in the name of the St. Louis Area Alumni Chapter.  Shall be authorized to co-sign checks.  Shall maintain the St. Louis Area Alumni Chapter 's financial accounts and shall enter, in detail, receipts and disbursements.  These accounts shall be open at all times to inspection by any member of, or individual designated by, the Council.  A report of the St. Louis Area Alumni Chapter 's financial condition shall be made at each Council meeting.  At the conclusion of the term of office, or resignation, an audit shall be conducted by an Audit Committee, and an audit report may be presented to the Council.

Other Officers

Other officers, elected or appointed by the Council, shall exercise such duties and responsibilities as designated by the Council.

Chairperson, Chapter Programs

Shall be responsible for the organization of all events through the Chapter Programs Committee.  Shall represent the Chapter Programs Committee at the Council meetings.

Chairperson, Membership

Shall be responsible for the care of the membership through the Membership Committee.  Shall insure that all duties of the Membership Committee are performed.  Shall represent the Membership Committee at the Council meetings.

Chairperson, Publicity

Shall be responsible for providing publicity for Chapter Events and any other publications necessary to promote the St. Louis Area Alumni Chapter through the Publicity Committee.  Shall represent the Publicity Committee at the Council meetings.

Immediate Past President

Shall provide guidance and historical perspective to the Council.  Shall attend Council meetings to help with the smooth transition from one fiscal year to the next.  Shall chair the Nominating Committee.

Members at Large

Shall be versed on all aspects of the St. Louis Area Alumni Chapter so that they can step into any position should the need arise.  Shall also take on special efforts as designated by the Council if, and when, the need arises. At the recommendation of the Nominating Committee (a/k/a Structure Committee) shall be appointed by the President with approval of the Council.

 

 

ARTICLE IV – CHAPTER COMMITTEES

The following Committees may from time to time be activated by the Council or the President:

Chapter Programs Committee

Shall be responsible for coordinating and presenting the general membership events of the St. Louis Area Alumni Chapter. Shall arrange for speakers for all events during the fiscal year, with the concurrence of the Council.  In lieu of extenuating circumstances, at least three events will be held each year.  Shall be responsible for reserving the meeting rooms and arranging the menu for events.  Shall work in conjunction with the Membership (to determine invites) and Publicity (to advertise events and website content) Committees in the course of developing each event.

Membership Committee

Shall maintain the up-to-date membership rolls as well as the prospective members from the collegiate schools of business, through the Membership Committee.  Shall be responsible for the publication of the chapter membership directory. Shall be responsible for name badges for members at Chapter events.  Shall be responsible for expanding the membership of the Chapter.  Shall provide the necessary input to the website (Publicity) to service the membership.

Publicity Committee

Shall be responsible to promote the Chapter and its goals. Shall provide notices of the St. Louis Area Alumni Chapter meetings to members at least three weeks prior to any event.  Shall maintain the website and work with Chapter Programs Committee to gather content and keep website current.  The Council will approve website content. Shall notify media outlets about upcoming events open to general public.

Nominating Committee (a/k/a Structure Committee)

The chair of the Nominating Committee shall be the Immediate Past President or such individual (Member at Large) as appointed by the President.  The Nominating Committee shall maintain records showing the expiration dates of the elected Council members and officers, as well as potential candidates for future officers or members of the Council.  Members of the Council shall submit to the chair of the Nominating Committee the names of persons who may be potential officers or members of the Council.

Financial Audit Committee

The Financial Audit Committee will review the annual report for the prior fiscal year of the St. Louis Area Alumni Chapter prepared by the Treasurer prior to the annual membership meeting.  They shall present their review to the annual membership meeting.  The members of this Committee will be drawn from the general membership.  No member of this Committee can be concurrently serving on the Council.  Once the Committee is formed they will appoint their own Chairperson.  This committee can be convened at any time during the year at the request of the Council or on its own accord.

Development Committee

Shall be responsible for developing contacts with the St. Louis Area business to solicit sponsorship of the St. Louis Area Alumni Chapter and its activities. Shall develop a structure of corporate sponsorship.

The list of the committees and their responsibilities are subject to change by the St. Louis Area Alumni Chapter Council.

 

ARTICLE V - FINANCIAL POLICY

Budget

A budget prepared by the Treasurer will be presented for the forthcoming year and will include all expected incomes and expenses.  This budget will be presented for approval at the annual membership meeting.

Bank Account

Money shall be kept in the St. Louis Area Alumni Chapter 's (the St. Louis Area Alumni Chapter of Beta Gamma Sigma) name at a local financial institution approved by the Council.

Expenses

Will be paid when due.  All checks for payment of expenses will require two signatures.

Expenditures

Funds will be spent only in the interest of the St. Louis Area Alumni Chapter.

Disposition of Funds

If the Chapter is dissolved all funds will revert to Beta Gamma Sigma Inc.

 

ARTICLE VI - MEETINGS

Chapter Council

Shall meet as often as necessary to conduct the smooth operation of the St. Louis Area Alumni Chapter.  As a minimum the Council shall meet four (4) times per year.  There shall be a meeting in the late summer or early fall to convene the new Council and set a path for the year.  There shall specifically be a meeting of the Council prior to the general membership meetings.  There shall be a year-end meeting to wrap-up the business of the current Council.  Any additional meetings may be called by the president or any the St. Louis members of the Council.  A quorum, necessary to conduct business at the Council meeting, shall be a simple majority of elected, voting Council members and elected officers, excluding unfilled vacancies.

General Membership

There shall normally be at least three meetings of the general membership each fiscal year.  These meetings shall include the annual membership meeting and two other meetings/events as determined by the Chapter Programs Committee.  Other meetings may be held as requested by the Chapter Programs Committee, by a request for a Special General Meeting by the Council or  by the President or Vice President.

 

 

ARTICLE VII – ELECTIONS

At the Council meeting prior to the annual membership meeting, the Nominating Committee shall submit to the Council, in writing, the recommendations of the committee for officers and/or elected Council members.  After such notice to the Council, the General Membership shall be notified, in writing, a reasonable time prior to the annual membership meeting.  The recommendations of the Nominating Committee will be presented to the membership at the annual membership meeting.  If approved by a majority of the members in good standing who are present and voting, the nominees shall be declared elected and will take office at the beginning of the next fiscal year.

An independent nomination for office may be made by a nomination from the floor by a member of the chapter in good standing following certification that the nominee is eligible for and has consented to serve if elected. 

 

ARTICLE VIII - PARLIAMENTARY PROCEDURE

Robert's Rules of Order (latest edition) shall govern in parliamentary procedure, insofar as such rules and not inconsistent with the Constitution and bylaws.

 

ARTICLE IX - AMENDMENTS TO THE BYLAWS

These bylaws may be amended by a three-fourths vote of the members present at a duly called meeting of the St. Louis Area Alumni Chapter.  No amendment to these bylaws shall be effective until a copy of the amendment has been filed with the Central Office.

 

ARTICLE X - DEFINITIONS

Member in Good Standing

A member shall be considered in good standing when current annual dues have been paid, but may be expelled for cause by a majority vote of the Council.  A member expelled shall not be entitled to a refund of his or her dues.  For cause shall mean for purposes of expulsion, conduct unbefitting of the Chapter or the Beta Gamma Sigma (BGS) mission which would include but not be limited to fraud, willful misconduct, criminal activities, dishonesty, or unauthorized misappropriation of Chapter or BGS information for personal gain.
